近日,省(sheng)國資委(wei)印發(fa)了《湖南省(sheng)國有企(qi)業完善(shan)公司治理范(fan)例匯編(bian)》,集(ji)團(tuan)《落(luo)實(shi)“三(san)個強化(hua)” 實(shi)現(xian)董事(shi)(shi)會決策“三(san)個提升”》作為(wei)“強化(hua)董事(shi)(shi)會建設”先進經驗成(cheng)功入選,并在(zai)全省(sheng)國企(qi)推廣。

強化各項保障,提升董事會決策能力。董(dong)事(shi)會(hui)與黨委、經理層(ceng)踐行“尊重、互信、透明、共治”的治理理念(nian),實現“黨委把方向(xiang)行穩致遠(yuan)、董(dong)事(shi)會(hui)作決(jue)(jue)(jue)策(ce)科(ke)學(xue)合理、經理層(ceng)抓落實高效有力(li)”。科(ke)學(xue)打造董(dong)事(shi)會(hui)“1+3+N”決(jue)(jue)(jue)策(ce)制(zhi)度(du)體系,建立(li)“多單(dan)合一”的《決(jue)(jue)(jue)策(ce)事(shi)項清單(dan)》,設立(li)戰略(lve)與投資決(jue)(jue)(jue)策(ce)、審(shen)計(ji)與風險管理、提名與薪酬(chou)考核和預算四個專業委員會(hui),建立(li)外部董(dong)事(shi)與董(dong)事(shi)長定期溝通機制(zhi),為(wei)董(dong)事(shi)會(hui)科(ke)學(xue)決(jue)(jue)(jue)策(ce)奠定基礎(chu)。
強化授權管理,提升董事會決策效率。完善母子(zi)(zi)公(gong)(gong)司(si)授(shou)權(quan)(quan)(quan)(quan)體(ti)系,因企(qi)施策實(shi)(shi)現差異化、精準化授(shou)權(quan)(quan)(quan)(quan),根據子(zi)(zi)企(qi)業(ye)所(suo)處行業(ye)特征、發(fa)展階段和(he)規模等(deng)條(tiao)件動態化調(diao)整授(shou)權(quan)(quan)(quan)(quan)事(shi)(shi)項(xiang),子(zi)(zi)公(gong)(gong)司(si)授(shou)權(quan)(quan)(quan)(quan)事(shi)(shi)項(xiang)實(shi)(shi)行“兩(liang)上(shang)董事(shi)(shi)會(hui)”決策機制,確保所(suo)授(shou)事(shi)(shi)項(xiang)決策合規,風險可控(kong)。優(you)化經(jing)(jing)(jing)理(li)(li)(li)(li)層行權(quan)(quan)(quan)(quan)履職,制定(ding)《董事(shi)(shi)會(hui)向(xiang)經(jing)(jing)(jing)理(li)(li)(li)(li)層授(shou)權(quan)(quan)(quan)(quan)管理(li)(li)(li)(li)辦(ban)法》,修(xiu)訂《總(zong)經(jing)(jing)(jing)理(li)(li)(li)(li)辦(ban)公(gong)(gong)會(hui)議事(shi)(shi)規則》,印發(fa)《總(zong)經(jing)(jing)(jing)理(li)(li)(li)(li)向(xiang)董事(shi)(shi)會(hui)報告(gao)工作管理(li)(li)(li)(li)辦(ban)法》,更好發(fa)揮經(jing)(jing)(jing)理(li)(li)(li)(li)層謀經(jing)(jing)(jing)營、抓落實(shi)(shi)、強管理(li)(li)(li)(li)作用(yong)。
強化閉環管理,提升董事會決策效果。召開外部(bu)董(dong)事(shi)溝通會(hui)、外部(bu)董(dong)事(shi)務虛會(hui)、董(dong)事(shi)會(hui)戰(zhan)略(lve)研討會(hui),聚(ju)焦主責主業,確(que)定(ding)集(ji)團(tuan)發(fa)展戰(zhan)略(lve)和戰(zhan)略(lve)定(ding)位。建立議案(an)(an)“五不上會(hui)”機制,制定(ding)《董(dong)事(shi)會(hui)議案(an)(an)管(guan)理辦(ban)法(fa)》,充分發(fa)揮(hui)專業委員(yuan)會(hui)決策(ce)“智囊團(tuan)”和外部(bu)董(dong)事(shi)作用,確(que)保重大決策(ce)科學審慎。建立董(dong)事(shi)會(hui)決議跟(gen)蹤(zong)與反饋機制,定(ding)期跟(gen)蹤(zong)督導評估(gu),保證(zheng)決議落地。
